Welcome to Pneuma. These Terms & Conditions (“Terms”) govern your use of our websites and services offered by Nick Dearman / Pneuma (“we,” “us,” or “our”), including coaching, classes, workshops, events, online courses, and related content.

By accessing our websites or purchasing or using our services, you agree to these Terms. If you do not agree, please do not use our services.

1. About our services

Pneuma provides breathwork, holistic inspiration, coaching, group classes, and educational courses. Descriptions on our sites outline offerings; details (format, schedule, pricing, and inclusions) may be confirmed at booking or checkout and may change with notice.

2. Not medical or mental-health care

Important: Our services are educational and wellness-oriented. They are not medical advice, diagnosis, treatment, psychotherapy, or a substitute for care from a licensed physician, therapist, or other qualified professional.

Breathwork and related practices can be physically and emotionally intense. You are responsible for consulting a healthcare professional before participating if you have any medical, psychiatric, cardiovascular, respiratory, pregnancy-related, or other conditions, or if you are unsure whether participation is appropriate for you.

You participate voluntarily and at your own risk. Seek emergency help if you experience distress or a medical emergency.

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to purchase coaching, courses, or paid services, unless we agree otherwise in writing with a parent or guardian. You agree to provide accurate information when contacting or registering with us.

4. Bookings, classes, and coaching

• Inquiries and booking requests are not confirmed until we acknowledge them (or until payment/scheduling is completed, as applicable).
• Class times, locations (online or in person), and formats may change; we will notify registered participants when reasonably possible.
• Private coaching terms (session length, package duration, rescheduling) will be agreed at engagement or stated in your package description.
• Please arrive (or join online) on time. Late arrival may reduce session time without refund, at our discretion.

5. Courses and digital products

Online courses are typically licensed for personal use by the purchasing account holder only, unless otherwise stated. You may not share login credentials, copy, redistribute, or resell course materials without our prior written permission.

Access duration, refund eligibility, and technical requirements are as stated at purchase or on the course platform. We are not responsible for issues caused by your device, internet connection, or third-party software.

6. Payments, cancellations, and refunds

Prices are as displayed at the time of purchase or as quoted in writing. Payment processors or platforms may apply their own terms.

Cancellation and refund policies may vary by offering (single class, package, retreat, or course). Where a specific policy is stated at checkout or in a written agreement, that policy controls. If no specific policy is stated:

• Reasonable notice for cancellations helps us offer your spot to others.
• Fees for completed sessions or substantially delivered digital content are generally non-refundable.
• We may offer rescheduling or credit at our discretion when you cannot attend for reasons beyond your control.

7. Conduct

You agree to treat facilitators and other participants with respect. We may refuse service or remove anyone whose behavior is disruptive, unsafe, discriminatory, or harassing, without refund where removal is due to misconduct.

8. Intellectual property

All content on our sites and in our programs — including text, branding, logos, images, videos, audio, and course materials — is owned by us or our licensors and protected by intellectual property laws. You receive a limited, non-exclusive license to use purchased materials for personal, non-commercial purposes only, unless we agree otherwise in writing.

9. Third-party links and tools

Our sites may link to third-party websites or embed tools (scheduling, payments, newsletters). We are not responsible for third-party content, policies, or practices. Your use of those services is subject to their terms.

10. Disclaimer of warranties

Services and content are provided “as is” and “as available,” without warranties of any kind, express or implied, including fitness for a particular purpose, to the fullest extent permitted by law. We do not guarantee specific outcomes (emotional, physical, professional, or otherwise) from coaching, breathwork, or courses.

11. Limitation of liability

To the fullest extent permitted by law, Pneuma and Nick Dearman shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of our services or content.

Our total liability for any claim arising out of these Terms or our services shall not exceed the amount you paid us for the specific service giving rise to the claim in the twelve (12) months preceding the claim, or one hundred US dollars (USD $100) if no payment was made — whichever is greater — except where liability cannot be limited by law (including liability for death or personal injury caused by negligence where such limitation is prohibited).

12. Indemnity

You agree to indemnify and hold harmless Pneuma and Nick Dearman from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the services, violation of these Terms, or infringement of others’ rights — to the extent permitted by law.

14. Changes

We may update these Terms from time to time. The “Last updated” date will change when we do. Continued use after changes constitutes acceptance where permitted by law. Material changes to ongoing paid services may be communicated by email or notice on the site when practicable.

15. Governing law

These Terms are governed by the laws of the jurisdiction in which Nick Dearman principally operates his business, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your country of residence require otherwise.
